SmartNet License Terms & Conditions
This Agreement is between “You” (the user of the SMARTNET(TM) Reference Station Network) and Leica Geosystems, Inc., a Delaware corporation having a principal place of business at 5051 Peachtree Corners Cir., Ste 250, Norcross, GA 30092 (hereinafter “Leica”), to grant You access to the SMARTNET Reference Station Network on these terms and conditions set forth below.
PLEASE READ THE FOLLOWING TERMS AND CONDITIONS BEFORE ACCESSING SMARTNET REFERENCE STATION NETWORK. THIS IS A LEGAL AGREEMENT, WITH IMPORTANT LEGAL CONSEQUENCES, BETWEEN YOU, THE LICENSEE (EITHER AN INDIVIDUAL OR A SINGLE ENTITY), AND THE LICENSOR, LEICA GEOSYSTEMS, INC., REGARDING ACCESS TO THE SMARTNET REFERENCE STATION NETWORK. THIS AGREEMENT IS PRESENTED FOR REVIEW AND APPROVAL AS A MANDATORY STEP PRIOR TO ACCESSING AND USING CORRECTIONS FROM THE NETWORK. ACCESSING OR USING THE NETWORK SIGNIFIES YOUR ACCEPTANCE OF AND AGREEMENT TO THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THEM, OR DO NOT UNDERSTAND THEM, YOU SHOULD CLICK “DO NOT AGREE” OR WORDS OF LIKE IMPORT BEFORE ACCESSING THE NETWORK. THIS AGREEMENT SUPERCEDES AN ORAL UNDERSTANDING BETWEEN THE PARTIES AND CAN ONLY BE MODIFIED BY WRITTEN AGREEMENT.
Network Access
Leica hereby grants You permission to access, with one roving GNSS receiver (hereinafter “Rover”), the SMARTNET Reference Station Network for the Term, contingent on Your paying subscription fees during the Term. The “Term” is as defined in a Purchase Order or other document between You and Leica. You may access the SMARTNET Reference Station Network with additional Rovers upon paying additional fees as agreed to from time to time with Leica in writing.
To facilitate access to the SMARTNET Reference Station Network, Leica will provide You with a user name and password and the Internet Protocol (IP) address of the SMARTNET Reference Station Network (“Information”). You agree to keep the Information confidential and not disclose the Information to any third party. You agree that usage information regarding the Leica’s positioning data, and any other data obtained by You through authorized use of the SMARTNET Reference Station Network, will be treated by You as confidential and the exclusive property of Leica. Leica may track and record user information, including IP addresses, names, physical addresses, contact information, location history, usage logs and other usage information for the purpose of monitoring, improving or marketing the SMARTNET Reference Station Network or for other purposes associated with the SMARTNET Reference Station Network, including support of the SMARTNET Reference Station Network. Leica may disclose such information to its employees, authorized dealers and agents, subcontractors and marketing partners.
Default
If You fail to satisfy any obligation under the Agreement, Leica has the right to declare You in default and immediately prevent You from accessing the SMARTNET Reference Station Network. In addition, You agree to pay all costs, expenses, and reasonable attorney’s fees for Leica’s enforcement of this Agreement.
Disclaimer
Leica expressly disclaims any warranty, representation or promise that the SMARTNET Reference Station Network is or will be free from defects or that the SMARTNET Reference Station Network will cover a particular area or that uninterrupted access or use to the SMARTNET Reference Station Network is or will be available. Leica expressly disclaims any warranty, representation or warranty as to the accuracy or integrity of the data created by or passing through the SMARTNET Reference Station Network. LEICA MAKES NO REPRESENTATIONS OR WARRANTIES (EXPRESS OR IMPLIED) TO YOU AND SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT THERETO.
LEICA WILL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (WHICH MAY INCLUDE BUT ARE NOT LIMITED TO LOST PROFITS, LOSS OF USE, LOSS OF DATA, GOODWILL IMPAIRMENT OR BUSINESS INTERRUPTIONS) ARISING OUT OF OR RELATING TO THE NETWORK, EVEN IF LEICA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LEICA'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT RECEIVED OR DUE FROM YOU FOR THE NETWORK.
The limitation of liability set forth above will not apply to death or personal injury resulting from Leica's negligence to the extent such limitation of liability is prohibited under applicable law.
Representations and Warranties
You represent and warrant that You will access the SMARTNET Reference Station Network only for Your use and shall not lend, lease or share Your access rights or subscription with any third party. You further represent and warrant that You will not access the SMARTNET Reference Station Network so as to exceed the number of Rovers permitted by Your subscription. You represent and warrant that You are proficient in the use of GPS systems of the type useable with the SMARTNET Reference Station Network and will independently assess the accuracy and value of any data derived from the SMARTNET Reference Station Network. You represent and warrant that You will comply with all laws, codes, rules, and regulations relating to Your use of the SMARTNET Reference Station Network, and that You have obtained all necessary licenses, permits, training, and authorizations necessary for access or use of the SMARTNET Reference Station Network.
Assignment
You may not assign any right or delegate any right or duty under this Agreement without prior written consent from Leica. Leica has the right to assign, sell, or transfer any or all of its interest under this Agreement without Your approval or consent, and without notice to You.
Miscellaneous
This Agreement may not be amended, altered, modified, rescinded or extended except by a written instrument signed by the Parties. The waiver or breach of any provision of the Agreement by either Party shall not operate as a waiver of any other part or right. The headings in the Agreement are for convenience only and do not delineate the rights or parts of the Agreement. The Agreement shall be construed in accordance with the laws of the State of Georgia. Any dispute, controversy or claim arising under this Agreement shall be exclusively determined by arbitration administered by the International Centre for Dispute Resolution in accordance with its International Arbitration Rules, if You are a non-US person or entity. If you are a US person or entity, any dispute, controversy or claim arising under this Agreement shall be exclusively determined by arbitration administered by the American Arbitration Association, under its Commercial Arbitration Rules. The place of arbitration shall be Atlanta, Georgia, USA. The language of the arbitration shall be English.
ADDENDUM TO SMARTNET LICENSE FOR SMARTCONNECT GNSS DATA PACKAGE
This Addendum supplements the SMARTNET License Terms & Conditions (hereinafter “Terms”). This Addendum applies to subscribers of any SMARTCONNECT GNSS Data Package as described herein. This Addendum is incorporated into and forms a part of those Terms.
The SMARTCONNECT GNSS data package (“Data Package”) is a data link service for accessing the SMARTNET real-time network correction service. The Data Package is available in Standard, Professional and Professional Plus Services. The Data Package comprises an AT&T wireless network data link (“Service”) and SMARTNET real-time network correction signal.
Limitations of Use
If You subscribe to the Standard Data Package, You agree to use the Data Package for the sole purpose of accessing the SMARTNET real-time network correction service and receiving position correction signals. You will not use the Data Package for any other purpose. If you subscribe to the Professional Data Package, in addition to using the Data Package for the purpose available under the Standard Data Package, you may use the Data Package for Active Assist, Leica Exchange, file transfers, telematics and other surveying applications. If you subscribe to the Professional Plus Data Package, in addition to using the Data Package for the purposes available under the Standard Data Package, you may use the Data Package for Active Assist, Leica Exchange, file transfers, telematics, point-to-point applications and other surveying applications.
Rates
You will pay for the Data Package at the rates set forth in a quotation of Leica or its authorized distributor, or in a published service plan. Payment is due in advance, unless otherwise agreed. You may change Your Data Package level upon notice and payment of the pro-rata difference between the existing level and the new level for the remainder of a Term.
Service Outage
In the event of a total Service outage within a Service Area which is not caused by You and which lasts for a period of twenty-four hours or more, a credit allowance will be made at Your request in the form of a pro rata adjustment of the fixed charges billed by Leica to You. Periods of discontinuous outage may not be accumulated in determining if an outage has continued for at least twenty-four hours. In order to receive such credit, You must submit a written request to Leica, stating the date and location of the outage and such other information as Leica may reasonably require. Such notice must be received by Leica within five business days following the last date of the period of outage. EXCEPT AS PROVIDED HEREIN, LEICA WILL NOT INCUR ANY LIABILITY FOR SERVICE OUTAGES.
Data Package Geographic Scope
Data Package is available for purchase only in areas where AT&T Service is available, as may be modified by AT&T from time to time, and where the SMARTNET real-time correction service is available.
Availability/Interruption
Service will be available only within the operating range of each Carrier's wireless system in AT&T Markets and where roaming is available through other carriers (each, a "Service Area"). Refer to the coverage map at www.wireless.att.com/coverageviewer. AT&T may from time to time add or delete Service Areas, and AT&T and Leica may terminate Service in any such deleted Service Area and/or terminate the Agreement if the Service Area deletion affects all customers. Gaps in Service occur within the Service Areas shown on coverage maps, which, by their nature, are only approximations of actual coverage; therefore, neither AT&T nor Leica guarantees You uninterrupted Service. Unless prohibited by law, Service may be interrupted, delayed or otherwise limited for a variety of reasons, including environmental conditions, unavailability of radio frequency channels, system capacity, priority access by National Security and Emergency Preparedness personnel in the event of a disaster or emergency, coordination with other systems, equipment modifications and repairs, and problems with the facilities of interconnecting carriers. AT&T or Leica may interrupt or terminate Service without notice: (a) for any conduct that AT&T or Leica believes violates this Agreement; (b) for nonpayment of charges or provision of inaccurate credit information; or (c) if AT&T or Leica has reasonable cause to believe your equipment is being used for an unlawful purpose or in a way that (i) is harmful to, interferes with, or may adversely affect the Service, AT&T’s owned network or the network of any other provider, including Leica, (ii) interferes with the use or enjoyment of Services received by other customers, (iii) infringes intellectual property rights, (iv) results in the publication of threatening or offensive material, or (v) constitutes spam or other abusive messaging or calling, a security risk or a violation of privacy.
You are solely liable for charges, costs or damages resulting from (i) fraud, until a reasonable time after notice to Leica of the fraud, (ii) any theft of a device used to connect to the Data Package, a User ID number, or password associated with the Service; (iii) any failure to give prompt notice of suspected abuse or fraudulent use based on information available to You; (iv) use not in accordance with this Agreement, including content purchases and excess use charges; and (v) roaming charges. Roaming charges (including use outside of the continental U.S.A.) are charged per kilobyte. Contact Leica for roaming data rates.
YOU HAVE NO CONTRACTUAL RELATIONSHIP WITH THE UNDERLYING WIRELESS SERVICE CARRIER AND YOU ARE NOT A THIRD PARTY BENEFICIARY OF ANY AGREEMENT BETWEEN LEICA AND THE UNDERLYING CARRIER. YOU UNDERSTAND AND AGREE THAT THE UNDERLYING CARRIER HAS NO LIABILITY OF ANY KIND TO YOU, WHETHER FOR BREACH OF CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS THE UNDERLYING WIRELESS SERVICE CARRIER AND ITS OFFICERS, EMPLOYEES, AND AGENTS AGAINST ANY AND ALL CLAIMS, INCLUDING WITHOUT LIMITATION CLAIMS FOR LIBEL, SLANDER, OR ANY PROPERTY DAMAGE, PERSONAL INJURY OR DEATH, ARISING IN ANY WAY, DIRECTLY OR INDIRECTLY, IN CONNECTION WITH USE, FAILURE TO USE, OR INABILITY TO USE THE WIRELESS SERVICES EXCEPT WHERE THE CLAIMS RESULT FROM THE UNDERLYING CARRIER’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. THIS INDEMNITY WILL SURVIVE THE TERMINATION OF THE AGREEMENT. YOU HAVE NO PROPERTY RIGHT IN ANY NUMBER ASSIGNED TO YOU, AND UNDERSTAND THAT ANY SUCH NUMBER CAN BE CHANGED. YOU UNDERSTAND THAT LEICA AND THE UNDERLYING CARRIER CANNOT GUARANTEE THE SECURITY OF WIRELESS TRANSMISSIONS, AND WILL NOT BE LIABLE FOR ANY LACK OF SECURITY RELATING TO THE USE OF THE SERVICES. YOU MAY NOT RESELL THE SERVICE TO ANY OTHER PARTY.
PRIVACY. THE NETWORK HAS MANY COMPLEX ELEMENTS AND IS NOT GUARANTEED AGAINST EAVESDROPPERS, HACKERS, DENIAL OF SERVICE ATTACKS, VIRUSES, OR INTERCEPTORS. YOU AGREE THAT AT&T AND LEICA WILL NOT BE LIABLE TO YOU FOR ANY LACK OF PRIVACY OR SECURITY.
Arbitration
The parties agree to exercise their best efforts to settle any dispute arising out of or related to this Agreement through good faith negotiation. Any dispute arising out of or related to this Agreement that cannot be resolved by negotiation shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules in effect at the time that a dispute is submitted for resolution (the “Rules”), as modified by this Agreement. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Such arbitration shall be held in New York, New York. The parties shall, within (twenty) 20 days of the issuance of a written notice of intent to arbitrate, as provided by the Rules, jointly select one (1) independent arbitrator licensed to practice law and familiar with the wireless telecommunications industry. If the parties cannot agree on an arbitrator within the specified 20-day period, then the selection shall promptly be made by the AAA in accordance with the Rules and the criteria set forth above. This Agreement evidences a transaction in interstate commerce, and thus the Federal Arbitration Act, 9 U.S.C. § 1, et seq, governs the interpretation and enforcement of this provision. In the event of a conflict between the FAA and the Rules, the FAA shall govern. In no event shall the arbitrator have the authority to make any award that is in excess of or contrary to what the Agreement provides. THE PARTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Furthermore, unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific proviso is found to be unenforceable, then the entirety of this arbitration provision shall be null and void. If You are a Puerto Rico customer and Leica cannot resolve the issue, You may notify the Telecommunications Regulatory Board of Puerto Rico of the grievance. Mail: 500 Ave Roberto H. Acceptable Use/Restrictions Regarding Service
All use of the Service is governed by AT&T’s Acceptable Use Policy, which can be found at att.com/AcceptableUsePolicy, as determined solely by AT&T. AT&T can revise its Acceptable Use Policy at any time without notice. The Data Package is also subject to any restrictions and/or prohibited uses described in this Agreement.
Ownership
AT&T owns or leases the exclusive rights to the frequencies related to the Service and associated transmission facilities used by AT&T in the provision of the Service. FCC regulations strictly forbid any party that is not a wireless communications licensee from altering, enhancing or maintaining cellular radio signals. FCC regulations require AT&T to maintain control over any transmitting device that operates within AT&T’s assigned frequencies. Neither You nor anyone acting for You may install any amplifier, enhancer, repeater or other device or system on AT&T’s wireless network or frequencies without AT&T’s prior written approval.
Content
You are solely responsible for all content that You permit to be posted or transmitted onto or through the Service or any of AT&T's or Leica’s systems, including materials, code, data, text (whether or not perceptible by You), drawings, files, or any other items or materials accessible through the Service or any of AT&T's systems.
In providing the Service, AT&T may act as a "services provider" as defined in the Digital Millennium Copyright Act.
Suspension, Term and Termination
Leica may deny Data Package access for any user that has breached this Agreement. Leica may terminate this Agreement immediately in the event of breach of this Agreement. Leica may terminate this Agreement or this addendum or the Service for any reason or no reason on no less than 30 days’ notice. In the event of such termination in accordance with the preceding sentence, Leica shall reimburse any pre-paid amounts on a pro-rata basis. Leica shall have no obligation and no liability in the event Leica terminates this Agreement for breach of this Agreement. The Terms and this addendum will survive termination, with the exception of the Your obligation to pay for the Data Package and Leica’s obligation to provide access in accordance with this Agreement.

Accès au réseau
Par les présentes, Leica vous accorde la permission d’accéder, au moyen d’un récepteur GNSS itinérant (ci-après appelé « Rover »), au Réseau de stations de référence SMARTNET pendant la durée déterminée, sous condition de votre paiement des frais d’abonnement pendant la durée déterminée. La « durée déterminée » est telle que définie par le bon de commande ou tout autre document établi entre vous et Leica. Vous pouvez accéder au Réseau de stations de référence SMARTNET avec des Rovers supplémentaires moyennant le paiement de frais supplémentaires tel que convenu par écrit à l’occasion avec Leica.
Afin de faciliter l’accès au Réseau de stations de référence SMARTNET, Leica vous fournira un nom d’utilisateur et un mot de passe et l’adresse de protocole Internet (IP) du Réseau de stations de référence SMARTNET (« Information »). Vous acceptez de maintenir la confidentialité de l’information et de ne divulguer l’Information à aucune tierce partie. Vous acceptez que l’information sur l’utilisation reliée aux données de positionnement de Leica, ainsi que toute autre donnée que vous aurez obtenue au moyen de l’utilisation autorisée du Réseau de stations de référence SMARTNET, seront traitées par vous comme étant confidentielles et la propriété exclusive de Leica. Leica peut identifier et enregistrer les informations de l'utilisateur, y compris les adresses IP, les noms, les adresses physiques, les coordonnées, l'historique de l’emplacement, les registres d'utilisation ainsi que d'autres informations sur l'utilisation à des fins de surveillance, de l'amélioration ou de la commercialisation du réseau de stations de référence SMARTNET ou pour d'autres fins liées au réseau de stations de référence SMARTNET, y compris le soutien du réseau de stations de référence SMARTNET. Leica peut divulguer de telles informations à ses employés, à des concessionnaires et agents, à des sous-traitants et à des partenaires commerciaux autorisés.
Manquement
S’il y avait quelque manquement de votre part de satisfaire à quelque obligation établie en vertu du présent accord, Leica a le droit de vous déclarer en situation de manquement à vos engagements et de vous empêcher sur le champ d’accéder au Réseau de station de référence SMARTNET. Par ailleurs, vous convenez de payer tous les coûts, les dépenses et les frais juridiques raisonnables requis pour l’application du présent accord par Leica.
Non-responsabilité
Leica se dégage expressément de toute responsabilité à l’égard de quelque garantie, déclaration ou promesse que le Réseau de stations de référence SMARTNET est ou sera libre de quelque défaut ou que le Réseau de stations de référence SMARTNET couvrira une région particulière ou que l’accès ininterrompu du Réseau de stations de référence SMARTNET ou son utilisation ininterrompue est ou sera disponible. Leica se dégage expressément de toute garantie, déclaration ou garantie à l’effet de la précision ou de l’intégrité des données créées ou passant par le Réseau de stations de référence SMARTNET. LEICA NE VOUS PRÉSENTE AUCUNE DÉCLARATION NI GARANTIE DE QUELQUE NATURE QUE CE SOIT (DE FAÇON EXPRESSE OU IMPLICITE) ET SE DÉGAGE SPÉCIFIQUEMENT DE TOUTE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE OU D’APTITUDE POUR QUELQUE FIN PARTICULIÈRE À CET ÉGARD.
Déclarations et garanties
Vous déclarez et garantissez que vous n’accéderez au Réseau de stations de référence SMARTNET que pour votre propre utilisation et ne prêterez, ne louerez ni ne partagerez vos droits d’accès ou votre abonnement à aucune tierce partie. Vous déclarez et garantissez par ailleurs que vous n’accéderez pas au Réseau de stations de référence SMARTNET de façon à surpasser le nombre de Rovers permis selon votre abonnement. Vous déclarez et garantissez que vous êtes compétent dans l’utilisation des systèmes GPS du type à utiliser avec le Réseau de stations de référence SMARTNET et que vous évaluerez de façon indépendante la précision et la valeur de toute données dérivée du Réseau de stations de référence SMARTNET. Vous déclarez et garantissez que vous vous conformerez à toutes les lois, tous les codes, tous les règlements et toute la réglementation reliée à votre utilisation du Réseau de stations de référence SMARTNET et que vous avez obtenu tous les permis et toutes les licences, formations et autorisations nécessaires pour accéder ou utiliser le Réseau de stations de référence SMARTNET.
Cession
Vous ne pouvez céder ni déléguer quelque droit ni quelque obligation que ce soit en vertu du présent accord sans l’obtention préalable d’un consentement écrit de Leica. Leica a le droit de céder, de vendre ou de transférer tout intérêt et l’ensemble des intérêts prévus en vertu de cet accord sans votre approbation ou consentement, et sans vous en fournir quelque préavis que ce soit.
Divers
Le présent accord ne peut être amendé, altéré, modifié, annulé ou prorogé à moins d’un document officiel écrit signé par les parties. La renonciation ou la rupture de quelque disposition de cet accord de l’une ou lTout litige, controverse ou réclamation découlant du présent contrat sera exclusivement administré par le Centre international pour le règlement des différends en conformité avec son Règlement international d’arbitrage, si vous êtes une personne ou une entité non américaine. Si vous vous êtes une personne ou une entité américaine, tout litige, controverse ou réclamation découlant du présent contrat sera administré exclusivement par l’American Arbitration Association conformément à ses règles d’arbitrage commercial.
